What you need to do

Two things, both with their own timelines: 1.

Register with VSMS at the Customs & Inland Revenue VSMS portal, then complete enrolment when the tax authority emails you. You will have access to request your PFX certificate, certificate password, and PAC code — the three pieces that legally identify you on the fiscal record.

Sign up at bridge.ajc-vanuatu.com, connect your Xero, and upload your certificate. From there, you can run AJC Bridge against the VSMS — every test invoice round-trips through the actual V-SDC against a non-binding training profile — then switch to production the day your deadline opens. COVID-19 Vaccinations in Vanuatu

The Ministry of Health (MOH) is starting its COVID-19 vaccination program in Efate today (June 2), and will expand to Sanma province in August, Tafea in September, Malampa & Penama in October and Torba in November

The first people eligible for vaccination will be frontline medical workers, those 55 years of age or older, as well as people with underlying condition such as NCDs. Depending on the initial demand from the targeted population, Vanuatu will open vaccinations to the whole population over 18+ years in the next stage to make sure all doses are distributed before the current expiration date at the end of August. It seems plausible that vaccination will be open to everyone on Efate at some point during the month of July.

Currently MOH is using the AstraZeneca Vaccine. They have 100,000 doses allocated through the COVAX program, with 24,000 doses currently in the Country. Vanuatu is looking to reserve up to 200,000 doses through COVAX. Australia is also looking to supply additional AstraZenaca vaccines to Vanuatu. It is possible that other vaccines will be available to Vanuatu at a later date, but the MOH is for now concentrating on using AstraZeneca as it is logistically more suited to Vanuatu’s vaccine storage and distribution systems. At this time, there should not be any expectation that Vanuatu will receive either the Pfizer or Moderna vaccines. MOH may try to obtain the Johnson & Johnson vaccine, which requires only one dose, and it might be possible that Vanuatu also gains access to one of the Chinese vaccines if they are approved for use in Vanuatu.

Vaccination will be open to citizens and residents alike. A second dose will be administered 8 to 12 weeks after the first dose. Once you receive your second dose, you will be considered fully vaccinated and will receive a vaccination certification to prove it.

Regarding AstraZeneca side effects, as of the date of writing, the MOH is expecting that the country will experience up to 1 case of blood clotting related to the vaccine. Compared with numbers found in studies done in Australia and the US, this number is plausible. Clots are extremely rare. In the US, from 8.7 million doses administered, there were 28 cases of clots associated with COVID-19 vaccination and 3 deaths. Vanuatu may experience some cases of blood clotting or it may experience none, based on the fact that the population is only 300,000 people. If you are uncertain about getting the vaccine, there are no specific contraindications unless you have had allergic reactions to vaccines in the past. MOH will have doctors at vaccination sites and will do assessments for anyone who has doubts. The key takeaway is that the vaccine is your best chance against COVID-19 since there is much, much more risks of complications and death with COVID-19 than the vaccine. Vanuatu will most probably not get Moderna or Pfizer for the foreseeable future, and the other vaccine (Johnson & Johnson) has the same side effects as AstraZeneca.

Based on data from Canada, probabilities of having a blood clots from AstraZeneca are 0.0004%. In Canada, the average probability of having a blood clot not related to the COVID-19 vaccine is 0.13%. There is 322 times more “naturally” occuring blood clot cases in the general population compared blood clots cases related to AstraZeneca vaccine. Blood clots from COVID-19 vaccine are therefore extremely rare.

In Canada, people hospitalized for COVID-19 infection had 14.7% probability of having a blood clot.

It is important to remember that Vanuatu’s population is particularly at risk from complications to COVID-19 due to the high prevalence of NCDs.

Vaccination is not mandatory, but the more people there are that get vaccinated, the better chance we have to fight COVID-19 as a country and protect the people who are the most vulnerable.

Important Changes to VAT Return Penalties

VAT Return Penalties - AJC Vanuatu

Recent law changes came into effect that will result in significant penalties should you fail to lodge your VAT return on time.

From now on, even if you are due a VAT refund or are lodging a nil VAT return, you will be fined VT30,000 (if an individual) or VT50,000 (if an entity) if you lodge your VAT return late. In addition, for each day that the VAT return remains outstanding, a further VT3,000 (for individuals) and VT5,000 (for entities) will apply.

It is therefore extremely important that your VAT return is lodged by the due date, even if you are lodging a nil return or expecting a VAT refund. If AJC prepares and lodges your VAT return for you, it is imperative that all information and documentation is provided to us well before the due date for lodgement.

The penalties for late payment of VAT have also changed. From now on a 5% late payment penalty will apply, and for each day until payment is made additional interest calculated at the rate of 20%p.a. will also apply.

The above changes will apply to January 2020 VAT returns which are due for lodgement by 27th February.

Recent changes to work permits in Vanuatu

As you may have heard; on 30 November 2018, the Parliament adopted a series of amendments to the law governing work permits. The amended law was subsequently published in the official gazette on 15 January. As such, it has now entered into force and is hence fully applicable.

The key amendments which were adopted are as follow:

1. Recruitment of foreign workers

Employees wishing to recruit non-residents will from now on have to submit to the Labour Department a much more detailed file justifying the selection and recruitment of a non-resident candidate.

If AJC is already supporting you with your recruitment and work permits, you do not have to worry about this, as we will adapt our procedures according to the revised law.

2. Work permits and VIPA

People holding a VIPA foreign investment approval will no longer be able to work as an employee (with a work permit) in a business different from the one for which they have a VIPA certificate. The opposite is also forbidden, an employee that holds a work permit cannot become a foreign investor unless he has left his foreign employee status to become only an investor with a VIPA.

3. Cost of work permit

The cost for a work permit will increase from Vt210,000 to Vt330,000.

4. Renewal of work permit

From now on, no work permit will be renewed beyond 4 years.

Please note that from the discussion that we held with the Department of Labour, we understand that the 4 year period commences from January 2019, i.e. at the date the law entered into force, NOT at the date that the first work permit was issued.  If you have any questions, please do not hesitate to contact us.

5. Cancellation of work permit:

The Department of Labour will be empowered to cancel a work permit if it considers that the holder of the work permit did not comply with the terms of this work permit (this includes the obligation for all employees to train a local counterpart, prohibition of mistreatment of staff (such as verbal or physical abuse, etc. )

The Department of Labour has decided to tighten its controls over possible abuse by non-resident workers and managers and strictly enforce the work permit cancellation provisions. This gives more flexibility to the Labour office to not renew the work permit of a foreigner that does not strictly follow the Act. 

6. Appeal of decisions by the Department of Labour

In order to contest a decision by the Department of Labour, the appeal will no longer be with the Minister, but with a special committee created by the revised law.

Changes to the Partnership Act in Vanuatu

Partnership (Amendment) Act n°26 of 2018, as published in the Official Gazette dated January 9 2019, has made some significant changes to the Partnership Act.

In short, partnership is the relation which subsists between persons carrying on a business (ie. every trade, occupation or profession) in common with a view of profit (this definition does not apply to companies or associations which are registered under the Companies Act n°25 of 2012 or any other Act).

You may have, in the course of your business, entered into an agreement, to share the profits of a business, which might characterize a partnership.

Whereas the Partnership Act did not require the registration of partnerships, the Act n°26 now set forth the obligation to register partnerships and to fulfil all annual requirements (renewal, annual report).

According to the information that you may provide, we will be glad to help you determine if some of your businesses can be seen as partnerships.

    AJC International Horse Show 2018

    The 6th edition of the AJC International Horse Show is happening this Sunday 13 May at Bellevue Ranch. It’s free and exciting for the whole family. Riders will fly from New Caledonia to compete in the AJC derby, a race particularly challenging to them as they have to ride horses they are not familiar with and get to know them only briefly before the competition. It is also a great opportunity to build links with foreign riders/clubs and show the quality of the academic horse riding in Vanuatu.

    This AJC competition is also a qualifier for our riders to compete in the Horse Pacific Challenge held in Nouméa every October, an event that opposes Vanuatu, Australia, New Zealand, Tahiti and New Caledonia.

    The Caledonian team from the club l’Etrier will arrive on Thursday and take off on Sunday, which gives them time, in addition to competing, to get a feeling of what matters while touring a little on our beloved island.

    This coming AJC International Horse Show will start at 9 am and will include show jumping, derby, a thrilling, high-speed event on cross-country jump and a jumping relay, from 1 pm to 3 pm with 15 teams which is highly fun and entertaining to watch.

    4. Create, coordinate and evaluate the financial programs and supporting information systems of the company to include budgeting, tax planning where applicable, real estate and conservation of assets;
    5. Examine means to enhance growth, profitability and value creation by evaluating internal operations, potential acquisitions, cash management strategy, the effective use of corporate assets, and by taking into account the financial and operational risks of the business;

As a member of the Leadership team, contribute and work collaboratively with all elements of day-to-day airline operations, including employee and customer relations, safety, revenue management, scheduling, strategic alliances, sales, brand management, product development and customer service delivery.

    Section 3. Requirements for this CFO position

    Essential

    1. Proven experience (10+ years) as CFOor in other senior financial leadership positions within a large company;
    2. Master’s Degree in Finance or Accounting;
    3. CA/CPA certification or equivalent;
    4. Experience in strategic business planning and implementation, financial management, accounting, budgeting, program and system management, development of financial and operational strategies, metrics, and the ongoing development and monitoring of control systems.
    5. Experience in contracting, negotiating, and change management.
    6. Sound knowledge of finance, accounting, budgeting, and cost control principles including Generally Accepted Accounting Principles.
    7. Ability to analyze financial data and prepare financial reports, statements, and projections.

      Vanuatu Government increases minimum wage effective 1 January 2018

      Following on from the recently announced increase in the VAT rate to 15%, the Government has also approved an increase in the minimum wage from VT170 per hour to VT200 per hour effective 1 January 2018. Employers are advised to review and adjust staff salaries if required. A summary of the impact of the increase is shown below.

      Full-time employee 40 hours per week 44 hours per week
      Old monthly salary (gross): VT29,467 VT32,414
      New monthly salary (gross): VT34,667 VT38,134

      The change represents a 17.64% wage increase to workers on the minimum wage. Employees earning more than the minimum wage are not affected.

      VAT increase starting 1st January 2018

      The Government of Vanuatu has officially advised that Value Added Tax rate will increase from 12.5% to 15% from next Monday 1 January 2018.

      A summary of how the rate change will impact your business is as follows:

      Businesses registered for VAT on a payments basis

      • Payments received or made on or after 1 January 2018 for invoices issued on or after 1 January 2018 will attract the new rate of 15%.
      • Payments received or made for invoices issued before 1 January 2018 will remain at 12.5%. However an adjustment will be required on your VAT return to correctly account for it. Details are in the Transitional Guide released by the VAT Office.

      Businesses registered for VAT on an invoice basis

      • If the invoice was issued before 1 January 2018, the old rate of 12.5% applies (and will be included in that period’s VAT return).
      • If the invoice is issued after 1 January 2018, the new rate of 15% applies.

      Clients are reminded that the next two VAT returns (due on 5th January and 27 January 2018) relate to the period’s November and December 2017 respectively, and therefore the old rate of 12.5% still applies when calculating VAT payable/refundable.

      Businesses utilising computerised accounting systems such as Xero, MYOB, Quickbooks, Opera, RoomMaster, etc. will need to manually update the tax rate in these systems on Monday 1 January 2018 to ensure that the correct VAT rate is charged. Please contact your software support provider/preferred advisor should you require assistance with this.

      Digital Future 2017 Conference held in Port Vila Nov 21-22

      On November 21st and 22nd, 2017 took place Digital Future 2017, a conference organised by AJC.

      The purpose of the conference was to familiarise participants with new accounting and financial technologies that can help small and medium-sized businesses in Vanuatu by simplifying their financial management. In particular, we organised workshops on Xero and various add-ons to manage tasks and payroll of employees.

      Vanuatu

      Vanuatu is an independent republic and is a chain of Melanesian islands lying to the north-east of Australia. Its capital, Port Vila, is only three and a half hours’ flying time from Sydney. Vanuatu boasts 83 islands with a diverse culture, custom, breathtaking scenery, world class dining and diving and above all friendly welcoming people.

      With a population of approximately 257,000 Vanuatu boasts 113 distinct languages and innumerable dialects. This makes it one of the most culturally diverse countries on earth. The pre-independence era contributed a great deal to the nation’s continuing diversity. The unique system of joint administration has given Vanuatu the benefit of being the only country in the South Pacific with two official languages, English and French. There is also Bislama, the national language, which is used as a common language among Vanuatu’s many peoples.

      And then, there is business … come and experience Vanuatu.


      Have you renewed your Business Licence?

      The Business Licence year started on 1 January, but you have until 31 January to renew.

      If you have not yet renewed your Business Licence, details about how you can do so are below.

      How to renew

      You must complete the details on the application form, sign, attach supporting documents, and lastly file at the office of Customs during office hours after completing a payment for your Business Licence fees.

      Business Licence fees are based on annual turnover and business categories. You’ll need to confirm your business’ 2015 actual turnover, and 2016 projected turnover. Customs will also ask that you to give additional information, such as the number of local and expatriate staff your business currently employs.

      But you do have to hurry, the closer you get to 31 January, the greater the waiting time will be…

      Work and Public Holidays

      Sundays and public holidays are not working days in Vanuatu. In most cases, an employee is not obliged to work on Sundays or public holidays. An employee may, however, agree to work on a Sunday or a public holiday, as he or she wishes.

      When an employee agrees to work on a Sunday or public holiday, his or her salary is increased by 50%, except for businesses which by nature stay open on Sundays and public holidays (resorts, restaurants, supermarkets, etc). Employees working in these industries may not be entitled to a day off or increased hourly rate of pay.


      VIPA Increases Fees

      Effective 1 January 2016, VIPA will adjust its fee structure for foreign investors applications.

      1. Application for New Investment : 120,000 VT (previously 25,000 VT)
      2. Application for Renewal : 60,000 VT (previously 10,000 VT)
      3. Application for Variation : 60,000 VT (previously 10,000 VT)

      The increase is deemed necessary to ensure that the operating costs incurred by VIPA are adequately covered.

      Foreign-owned businesses in Vanuatu can therefore expect an increase in their annual fees.

      Simultaneously, in a bid to boost investment, VIPA announced that it will no longer ask new investors to provide evidence of their 5 million VT (either savings, investments or property) as evidence that minimum capital requirements are met.

      Additional regulatory changes are expected to take effect with the implementation of legislative changes in 2016. We will provide more details when theses changes are due to take place.
