Section 1. The Job Description, Broadly Stated

The Chief Executive Officer (CEO) has all the powers and authority required to manage the business and affairs of the Corporation and its subsidiaries in the ordinary course of business, subject to any limitations specified by the Board of Directors (the Board) in any applicable resolutions, and in exercising those powers and that authority s/he;

  • is responsible and accountable to the Board,
  • is subject to the direction and control of the Board and to the terms of any policies established by the Board, and
  • is responsible for the reputation of the Corporation, the establishment and enforcement of ethical standards for the Corporation and the ethical conduct of business.

Section 2. Additional Specific Duties of the CEO

Without limiting the CEO’s powers, authority, duties, responsibilities, accountability and

limitations referred to in Section 1 above, the CEO shall:

  1. in conjunction with the Board, establish and communicate (i) the Corporation’s overarching strategic objective, and (ii) the Corporation’s values;
  2. in conjunction with the Board, develop and maintain a strategic plan directed to realizing the Corporation’s overarching strategic objective;
  3. establish and maintain the Corporation’s operating plans, policies, procedures and tactics for implementing the Corporation’s strategic plan; be responsible for the day to day operation of the Corporation’s business;
  4. obtain the approval of the Board for all major decisions outside the normal course of business;
  5. monitor and evaluate the Corporation’s performance and take corrective action to ensure that the Corporation is operating in a manner consistent with the Corporation’s overarching strategic objective, the Corporation’s strategic plan, operating plans and capital budget at an acceptable risk;
  6. develop and maintain an effective management group, creating an organizational structure and management processes that enable the management group to function as a team;
  7. develop and maintain open and candid communication between and among (i) members of the management group, and (ii) the CEO, members of the management group and the Board;
  8. develop and maintain a viable succession plan covering all significant management positions;
  9. lead the development and maintenance of healthy, positive relationships with customers, suppliers, shareholders, the Board, agents and others whose goodwill is important to the success of the Corporation;
  10. create and foster a strong culture of safety in the Corporation and its subsidiaries;

Section 3. Requirements for this CEO position

Essential

  1. Proven experience as CEOor in other senior leadership position within the airline industry
  2. Masters degree in aeronautical engineering (Ingénieur en aéronautique), business administration or relevant field
  3. Demonstrable success as head of a key function with a track record of delivery against key goals and overcoming significant obstacles
  4. Experience in developing profitable long term competitive strategies and implementing vision
  5. Strong understanding of corporate finance and performance management principles
  6. Familiarity with diverse business functions such as marketing, product development, PR, finance etc.
  7. Excellent communication and public speaking skills in English

Section 1. The Job Description, Broadly Stated

Section 2. Additional Specific Duties of the CFO

Without limiting the CFO’s powers, authority, duties, responsibilities, accountability and limitations referred to in Section 1 above, the CFO shall:

  1. Be responsible for all financial and fiscal management aspects of company operations;
  2. Provide strategic leadership and coordination in the development and implementation of business planning, financial management, accounting, budgeting, program and system management efforts of the company;
  3. Be accountable for the development of a financial and operational strategy, metrics tied to that strategy, and the ongoing development and monitoring of control systems designed to preserve company assets and report accurate financial results;
  4. Create, coordinate and evaluate the financial programs and supporting information systems of the company to include budgeting, tax planning where applicable, real estate and conservation of assets;
  5. Examine means to enhance growth, profitability and value creation by evaluating internal operations, potential acquisitions, cash management strategy, the effective use of corporate assets, and by taking into account the financial and operational risks of the business;
  6. Approve and coordinate changes and improvements in automated financial and management information systems for the company;
  7. Ensure compliance with Civil Aviation, regulatory, statutory and budgetary reporting requirements;
  8. Oversee the approval processing of revenue, expenditure, and position control documents, department budgets, mass salary updates, ledger and account maintenance and data entry;
  9. Coordinate the preparation of financial statements, financial & management reports, special analyses and information reports;
  10. Ensure appropriate and robust finance, accounting, billing and auditing procedures;
  11. Establish and maintain appropriate internal control safeguards, including a financial risk register, and communicate and manage relevant risks;
  12. Ensure records systems are maintained in accordance with generally accepted auditing standards, assist in obtaining the necessary licenses and insurance required to operate the business;
  13. Analyse cash flow, cost controls and expenses to guide business leaders;
  14. Develop and implement purchasing and supply chain management; and
  15. As a member of the Leadership team, contribute and work collaboratively with all elements of day-to-day airline operations, including employee and customer relations, safety, revenue management, scheduling, strategic alliances, sales, brand management, product development and customer service delivery.

Section 3. Requirements for this CFO position

Essential

  1. Proven experience (10+ years) as CFOor in other senior financial leadership positions within a large company;
  2. Master’s Degree in Finance or Accounting;
  3. CA/CPA certification or equivalent;
  4. Experience in strategic business planning and implementation, financial management, accounting, budgeting, program and system management, development of financial and operational strategies, metrics, and the ongoing development and monitoring of control systems.
  5. Experience in contracting, negotiating, and change management.
  6. Sound knowledge of finance, accounting, budgeting, and cost control principles including Generally Accepted Accounting Principles.
  7. Ability to analyze financial data and prepare financial reports, statements, and projections.
  8. High level of proficiency in Microsoft Office, including Excel, Word, Powerpoint; web-based and email programs.
  9. Excellent English communication skills verbally, in writing, and electronically
  10. Excellent public presentation skills
